it is probably driver problem. ndis.sys is network driver file
I had the same problem with my laptop a couple of days ago
At this case solution was simple.I had mouse which allocating IRQ port the same like operating system.I just unpluged the mouse(usb) during start up and problem vanished.
My suggestion is to unpluged as much as possible from you laptop and try to start system.
Second solution is to start “dos” console(star ,run,...cmd) and then use sfc/scanonce command(remember to have system cd inside)
Winxp exchange all important files with original ones(unmodified)
